1. About Us

Concipio Fertility Ltd ("Concipio", "we", "us", or "our") is a company registered in England and Wales with registered address at 170 Bishops Road, London, United Kingdom, SW6 7JG.

We operate the Concipio fertility tracking application and website at concipiofertility.com (together, the "Service"). Our Service helps users track their fertility cycle, understand reproductive health patterns, and access educational content related to fertility.

2. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific features of the Service. These Terms form a legally binding contract between you and Concipio Fertility Ltd.

If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" in these Terms shall include that organisation.

To use the Service, you must be at least 18 years of age. By using the Service, you represent and warrant that you are 18 or older and have the legal capacity to enter into a binding agreement.

The Service is intended for users located in the United Kingdom. If you access the Service from outside the UK, you are responsible for compliance with local laws applicable to your use of the Service.

Certain features of the Service require you to create an account. When registering, you agree to:

• Maintain and promptly update your account information
• Keep your password confidential and not share it with others

• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate your account if we reasonably believe that any information you provided is inaccurate, incomplete, or if you have violated these Terms.

6. Subscriptions and Payments

Some features of the Service may be subject to payment of fees. Where this is the case, the following terms apply:

• Billing: You authorise us to charge the applicable fees to your designated payment method on the billing cycle you select.
• Price Changes: We will give you at least 30 days' notice of any price increases before they take effect. Your continued use of the Service after the notice period constitutes acceptance of the new pricing.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until that date.
• Refunds: Subject to your statutory rights under the Consumer Rights Act 2015, subscription fees are generally non-refundable except where required by law.
• Free Trials: If we offer a free trial, we will clearly state the trial period and what happens at the end of it. You may cancel at any time during the trial without charge.

All prices are stated inclusive of VAT where applicable, unless otherwise stated.

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

• Use the Service in any way that violates any applicable UK or international law or regulation
• Transmit any unsolicited or unauthorised advertising or promotional material
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorised access to any part of the Service or its related systems
• Use the Service in any manner that could damage, disable, overburden, or impair it
• Harvest or collect personal data of other users without their consent
• Upload or transmit any material that contains viruses, trojans, or other malicious code
• Use automated tools to scrape, crawl, or extract data from the Service
• Use the Service for any purpose that is unlawful or prohibited by these Terms

The Service and all content within it — including but not limited to text, graphics, logos, icons, images, audio clips, and software — are owned by or licensed to Concipio Fertility Ltd and are protected by United Kingdom and international copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for personal, non-commercial purposes in accordance with these Terms. This licence does not include the right to:

• Reproduce, distribute, or publicly display any part of the Service
• Modify or create derivative works based on the Service
• Use the Service for commercial purposes without our prior written consent
• Reverse engineer, decompile, or disassemble any software forming part of the Service

9. Your Content

You retain ownership of any content you submit, post, or upload to the Service, including your fertility tracking data ("Your Content"). By providing Your Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, and process Your Content solely to the extent necessary to provide and improve the Service.

You are responsible for ensuring that Your Content does not infringe the rights of any third party, and that it complies with all applicable laws. We reserve the right to remove any content that, in our reasonable opinion, violates these Terms or is otherwise objectionable.

The Service may contain links to third-party websites, applications, or services. These links are provided for your convenience only and do not constitute our endorsement of those sites or services. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites.

We encourage you to review the terms and privacy policies of any third-party services you access via the Service.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• That the Service will be uninterrupted, timely, secure, or error-free
• That any defects will be corrected
• That the Service is free of viruses or other harmful components

Nothing in these Terms affects your statutory rights as a consumer under the Consumer Rights Act 2015 or any other applicable law that cannot be excluded or limited.

12. Limitation of Liability

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any matter for which it would be unlawful to exclude or limit liability under the Consumer Rights Act 2015 or other applicable legislation

Subject to the above, to the fullest extent permitted by applicable law, Concipio Fertility Ltd and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or other intangible losses — arising out of or in connection with your use of, or inability to use, the Service.

Our total aggregate liability to you in connection with these Terms shall not exceed the greater of (a) the total fees paid by you to us in the 12 months preceding the claim, or (b) £100.

13. Indemnification

You agree to indemnify, defend, and hold harmless Concipio Fertility Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your infringement of any rights of another person or entity.

14. Termination

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if you breach any of these Terms or for any other reason at our reasonable discretion. Upon termination:

• Your right to use the Service will immediately cease
• We may (but are not obligated to) delete your account and data in accordance with our Privacy Policy and data retention practices
• Any provisions of these Terms that by their nature should survive termination (including disclaimers, limitation of liability, and governing law) will continue to apply

You may also terminate your account at any time by contacting us at support@concipiofertility.com or through the account settings in the app.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a prominent notice within the Service at least 30 days before the changes take effect for existing users. For new users, revised Terms take effect immediately upon registration.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service and may close your account.

16. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Concipio Fertility Ltd regarding the Service and supersede all prior agreements or understandings.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17. Governing Law and Disputes

These Terms and any disputes or claims arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation. If you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
